Terms of Service

This Terms of Service ("Agreement") governs your access to and use of the services, software, and products offered by The Projekt LLC, a Florida limited liability company, including its wholly owned subsidiary Rogue Cinematography LLC and its internal operating divisions: The Watchman, The Forge, Founders Expansion, and Build With The Public (collectively, "The Projekt," "we," "our," or "us").

By using our services, you agree to these Terms and our Privacy Policy. Where a separate signed agreement exists between you and The Projekt (such as a photography or videography contract, a Statement of Work, or a service agreement), the terms of that signed agreement will take priority over these platform-level terms to the extent of any direct conflict.

1. Eligibility and Scope

You must be at least eighteen (18) years old to use our services. Users between the ages of thirteen (13) and eighteen (18) may access certain free resources with verified parental consent. Our services are not directed to children under thirteen (13), and we do not knowingly collect personal data from anyone under that age.

This Agreement applies to all offerings under The Projekt LLC, including but not limited to:

  • Sayso (audio review platform, currently in beta)
  • Conduit (freelancer hub, currently in beta)
  • Foundation Package, Control, and Founder's Edge (service packages)
  • The Watchman (headhunting and talent sourcing)
  • Rogue Cinematography LLC (creative production services)
  • The Forge (community, education, and programming)
  • Founders Expansion (product development and asset lab)
  • Build With The Public (open source and humanitarian tools)
  • Any future products, services, or divisions launched under The Projekt LLC

2. Account Responsibilities

You agree to provide accurate and complete information when registering for an account on any of our platforms. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

You must notify us immediately at support@theprojekt.io if you believe your account has been compromised. We are not liable for any loss or damage resulting from unauthorized access to your account that occurs due to your failure to protect your credentials.

3. Communications

By signing up for any of our services or platforms, you consent to receive:

  • Transactional communications related to your account, orders, and service updates.
  • Marketing emails about our products and services. You may opt out at any time using the unsubscribe link in any marketing email.
  • Future SMS or push notifications, which will require your prior opt-in consent before we send them.

Electronic communications from us (including emails, in-app messages, and account notifications) satisfy any legal requirement for written notice under this Agreement.

4. Payments, Subscriptions, and Refunds

We accept payments through Stripe, PayPal, Helcim, and approved buy-now-pay-later (BNPL) options. Our services are billed in the following formats:

  • One-time payments (for example, Foundation Package engagements).
  • Recurring subscriptions (for example, monthly design hours under Control).
  • Hybrid billing (for example, The Watchman, which may combine a placement fee with ongoing support charges).

Refund Policy

The Projekt (Core) Design and Development Services: The Projekt does not offer refunds for design and development work. Our project lifecycle typically spans multiple months and involves the client's consistent participation, feedback, and approval at each stage of the process. Because the client reviews and approves each milestone before work progresses to the next phase, and because significant time, resources, and expenses are committed throughout the engagement, refunds are not available once work has begun. If a client chooses to discontinue an engagement before completion, payment remains due for all work completed and approved up to the point of discontinuation.

Rogue Cinematography (Production Services): Rogue Cinematography does not provide refunds by default. Refund requests related to Rogue engagements are evaluated on a case-by-case basis at the sole discretion of the Rogue team. Factors considered may include the nature of the engagement, the stage of production, whether deliverables have been provided, and the specific circumstances of the request. Clients are not entitled to a refund simply by requesting one.

The Watchman (Hiring and Placement Services): Conditional refunds may be available for The Watchman engagements, evaluated on a case-by-case basis. Refund eligibility depends on the stage of the placement process and the terms outlined in the applicable service agreement. Any applicable replacement guarantees or trial periods will be defined in the signed Watchman service agreement.

Founders Expansion (Software Products): Full refunds are available for unused software within fourteen (14) days of purchase. Once a software product has been accessed or activated, the refund window closes.

Expedite Options: Where available, expedited service is offered for an additional fee as outlined at the time of purchase. Expedite fees are non-refundable.

5. Late Payment and Overdue Accounts

All invoices issued by The Projekt are due within the timeframe specified on the invoice or in the applicable service agreement. If no payment term is specified, invoices are due within five (5) business days of the invoice date.

If payment is not received within the specified period, a late fee of one and a half percent (1.5%) per month (or the maximum rate permitted by applicable law, whichever is lower) will accrue on the outstanding balance from the date the payment was due.

If an invoice remains unpaid for more than thirty (30) days past its due date, The Projekt reserves the right to pause all active work on the client's projects until the outstanding balance is resolved. Work will resume once payment is received in full, and any project timelines will be adjusted accordingly. The Projekt is not responsible for delays caused by paused work due to non-payment.

In the event that collection efforts are required, the client agrees to pay all reasonable costs of collection, including attorney's fees, court costs, and collection agency fees.

6. Licensing and Intellectual Property

The Projekt retains all rights, title, and interest in and to all intellectual property created, developed, or provided through our services, including but not limited to:

  • Brand identities, logos, typography systems, and visual brand assets.
  • Software source code, user interface designs, and user experience assets.
  • Written content, including guides, eBooks, training materials, and courses.
  • Marketing materials, campaign assets, and media content.
  • Candidate screening reports, placement profiles, and sourcing frameworks produced through The Watchman.

Clients and users may not reproduce, distribute, modify, sublicense, or use any intellectual property produced by The Projekt unless explicitly granted through a signed license agreement (such as a white-label arrangement or a specific deliverable handoff defined in a Statement of Work).

Upon full payment for a project or engagement, clients receive a license to use the final deliverables as defined in the applicable Statement of Work or service agreement. Unless otherwise stated in writing, this license is non-exclusive and non-transferable.

7. Client Content and Media Usage License

By engaging The Projekt for any service, you grant The Projekt LLC and its divisions (including Rogue Cinematography LLC) a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, distribute, and create derivative works from the following materials for The Projekt's own marketing, advertising, promotional, portfolio, educational, and content creation purposes across any medium or channel:

  • Finished deliverables produced by The Projekt or any of its divisions during your engagement (such as completed websites, brand assets, design systems, and marketing materials).
  • Photography, videography, and other media captured or produced by Rogue Cinematography or any other division of The Projekt during a client engagement, including behind-the-scenes footage, production stills, and final media output.
  • Case studies, project descriptions, and general descriptions of the work performed, including references to the client's industry, project type, and results achieved.
  • Screenshots, screen recordings, and visual representations of delivered work products.

This license allows The Projekt to feature your project across its channels, including but not limited to YouTube, social media platforms, paid advertisements, website portfolio pages, pitch decks, conference presentations, blog posts, and any content produced by any division of The Projekt.

This license does not transfer ownership of your materials to The Projekt. You retain all ownership rights in your underlying brand, business content, and proprietary information. The Projekt will not use your materials in a way that misrepresents your brand or suggests a current or ongoing relationship beyond what exists.

Opt-Out: If you do not want The Projekt to use deliverables or media from your engagement for promotional purposes, you must notify us in writing at legal@wearetheprojekt.com before or during the engagement. We will honor written opt-out requests on a go-forward basis. For projects already featured, we will remove materials within thirty (30) days of receiving your written request.

Separate Agreements: Where a signed service agreement, Statement of Work, or production contract between you and The Projekt addresses media usage rights, the terms of that signed agreement will control over this section. If that agreement is silent on promotional usage, this section applies as the default.

Confidential Engagements: If your project involves confidential or sensitive work that should not be publicly referenced, you must designate this in writing at the start of the engagement. The Projekt will not feature confidential projects in public-facing materials without your written consent.

8. Testimonials and Client References

The Projekt may list your business name and industry as a past or current client in marketing materials, including on our website, in pitch decks, in proposals, and in other business development contexts, unless you have opted out in writing.

The use of your logo, brand mark, or any specific visual brand asset in our marketing materials requires your prior written consent. Written or recorded testimonials, endorsements, or quotes attributed to you or your team will not be used without your separate written approval.

9. Scope Changes and Additional Fees

The scope of work for any engagement is defined in the applicable service agreement, Statement of Work, or project brief. Any work requested by the client that falls outside the agreed scope constitutes a change request and may result in additional charges, adjusted timelines, or both.

No out-of-scope work will begin until the change request has been documented in writing by The Projekt's project manager, the impact on timeline and cost has been communicated, and the client has provided written approval to proceed. Verbal requests or informal messages do not authorize scope changes.

This process exists to protect both the client and the team. It ensures that expectations remain aligned and that no one is working outside of what has been agreed upon.

10. Client Cooperation and Timely Feedback

Successful delivery depends on timely cooperation from both parties. The client is responsible for providing feedback, approvals, content, assets, access credentials, and any other materials required for The Projekt to perform the agreed services within a reasonable timeframe.

If the client does not respond to a request for feedback or approval within three (3) business days of The Projekt's request, The Projekt reserves the right to pause the project. If a project is paused due to client non-responsiveness, The Projekt is not responsible for any resulting delays. Project timelines will be adjusted once the client re-engages.

If a project remains paused for more than sixty (60) days due to client non-responsiveness, The Projekt may close the project. In such cases, payment remains due for all work completed and approved up to the point of closure, and a re-engagement fee may apply to reactivate the project.

11. User-Generated Content

If you submit audio, text, images, reviews, feedback, uploads, or any other content through our platforms, you retain ownership of that content. However, by submitting it, you grant The Projekt a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content as necessary to operate and improve the service through which it was submitted.

We reserve the right to remove any user-generated content that violates this Agreement, our community standards, or applicable law.

12. Acceptable Use

You agree not to:

  • Use our services for any illegal, harassing, deceptive, or fraudulent purpose.
  • Upload or transmit malware, viruses, or any code intended to disrupt or damage our platforms or the devices of other users.
  • Attempt to reverse-engineer, decompile, disassemble, or scrape any of our software, platforms, or content.
  • Infringe on the intellectual property rights of The Projekt or any third party.
  • Use automated scripts, bots, or scrapers to access or collect data from our platforms without prior written authorization.
  • Interfere with the security, integrity, or performance of our services.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice, depending on the severity of the violation.

13. Data Use and Sharing Across Products

By using any of our services, you consent to data collected through one platform or division (for example, Conduit) being accessible to and used by other divisions within The Projekt for the purposes of providing a consistent customer experience, coordinating service delivery, preventing fraud, and improving our offerings.

All internal data sharing is governed by our Privacy Policy and is subject to the same security and confidentiality standards that apply across the organization. No data is shared with unrelated third parties for advertising or resale. For full details on how we handle your data, please review our Privacy Policy at wearetheprojekt.com/Privacy-Policy.

14. Service Delivery and Contractors

The Projekt delivers services using a combination of internal team members and independent contractors. All contractors who work on client-facing projects operate under signed Independent Contractor Agreements and are bound by our Contractor Security and Access Agreement, which includes obligations related to confidentiality, data protection, and information security.

Contractors do not have the authority to bind The Projekt or its clients to any commitment or obligation without explicit written authorization from The Projekt's leadership.

For clients with specific data processing requirements, Data Processing Agreements (DPAs) are available upon request by contacting legal@wearetheprojekt.com.

15. Service Availability and Uptime

We use commercially reasonable efforts to maintain the availability and performance of our platforms and services. However, we do not guarantee uninterrupted or error-free access. Scheduled maintenance, updates, and occasional downtime may occur.

We will make reasonable efforts to provide advance notice of planned maintenance through our website or by email where feasible.

16. Beta Products

Products identified as "beta" (including Sayso and Conduit at the time of this Agreement) are released for early access and testing purposes. Beta products may have limited features, may contain bugs, and may not have guaranteed uptime.

By using beta products, you acknowledge these limitations and agree that The Projekt is not liable for any loss or disruption caused by beta product instability. Beta products may be modified, suspended, or discontinued at any time without prior notice.

17. Third-Party Programs and Links

We participate in external referral and affiliate programs with partners such as banking providers, domain registrars, and e-commerce platforms. These relationships do not give those partners access to your personal data beyond what is necessary to process referrals.

Our platforms may contain links to third-party websites or services. We are not responsible for the privacy practices, content, or security of those external sites. We encourage you to review their terms and policies independently.

18. Non-Disparagement

During the term of any engagement and following its conclusion, both parties agree not to make intentionally false, misleading, or malicious public statements about the other party that are designed to harm the other party's reputation or business interests.

This provision does not restrict either party from providing truthful information in legal proceedings, regulatory filings, or internal communications made in good faith. It also does not restrict either party from posting honest reviews or providing candid feedback through appropriate channels.

19. Arbitration and Dispute Resolution

You agree to attempt to resolve any dispute arising under this Agreement first through informal negotiation by contacting us at legal@wearetheprojekt.com. If the dispute cannot be resolved through informal negotiation within thirty (30) days, both parties agree to submit the dispute to binding arbitration in the State of Florida under the rules of the American Arbitration Association (AAA).

Each party waives any right to a trial by jury. Each party also waives any right to participate in a class action, collective action, or representative proceeding. Any individual claim not subject to arbitration must be brought exclusively in the state or federal courts located in Orange County, Florida, and both parties consent to the personal jurisdiction of those courts.

20. Indemnification

You agree to indemnify, defend, and hold harmless The Projekt LLC, its subsidiary Rogue Cinematography LLC, and their respective officers, directors, members, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

21. Disclaimer of Warranties

All services, software, platforms, and content are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected. Your use of our services is at your own risk.

22. Limitation of Liability

To the fullest extent permitted by applicable law, The Projekt LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, arising out of or in connection with your use of our services, regardless of the theory of liability.

Our total aggregate liability for any claim arising under or related to this Agreement shall not exceed the total amount you have paid to The Projekt in the twelve (12) months immediately preceding the event giving rise to the claim.

23. Termination and Account Deletion

You may terminate your account at any time by contacting us at support@theprojekt.io. Upon receiving your request, we will close your account and begin the process of deleting your personal data in accordance with our Privacy Policy and data retention schedule.

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, if your account poses a security risk, or if required by law. Where possible, we will provide notice before termination, but we reserve the right to act immediately in cases of serious violations.

Upon termination, any licenses granted to you under this Agreement will immediately cease. The license granted to The Projekt under Section 7 (Client Content and Media Usage License) will survive termination unless you have submitted a written opt-out. Sections of this Agreement that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, non-disparagement, and arbitration provisions) will continue to apply.

24. Business Transfers

In the event of a merger, acquisition, bankruptcy, reorganization, or sale of all or a portion of our assets, your information may be transferred to the successor or affiliated entity. We will notify you before your personal data becomes subject to a materially different privacy policy. Where required by law, we will seek your consent before completing such a transfer.

25. Export Controls

You may not use, export, re-export, or transfer our services except as authorized by United States law and the laws of any other applicable jurisdiction. You may not use our services in any country subject to a U.S. government embargo or by any person or entity listed on a U.S. government restricted parties list, including the Specially Designated Nationals list maintained by the Office of Foreign Assets Control (OFAC).

26. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any legal action or proceeding not subject to the arbitration provision in Section 19 shall be brought exclusively in the state or federal courts of Orange County, Florida.

27. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications outages, power failures, labor disputes, pandemics, cyberattacks, or acts of terrorism.

28. Regulatory and Government Compliance

The Projekt LLC is committed to operating in compliance with applicable federal and state laws, including those governing procurement, data protection, anti-corruption, equal opportunity, and export controls. As The Projekt engages with federal and state government clients, we maintain internal compliance practices aligned with applicable requirements of the Federal Acquisition Regulation (FAR), the Florida Information Protection Act (FIPA), and relevant SBA program guidelines.

This section is informational and does not create additional obligations or rights for users of our services. Specific compliance terms applicable to government engagements will be defined in the relevant contract or Statement of Work.

29. Copyright Complaints (DMCA)

If you believe that content available through our services infringes your copyright, please submit a notice to our designated agent at legal@wearetheprojekt.com. Your notice should include a detailed description of the copyrighted work, the location of the allegedly infringing material on our platform, your contact information, a statement that you have a good-faith belief that the use is not authorized, and a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

We process DMCA notices in accordance with the Digital Millennium Copyright Act. If you believe a takedown was issued in error, you may submit a counter-notification to the same address.

30. Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall continue in full force and effect.

31. Entire Agreement

This Agreement, together with our Privacy Policy and any separately executed service agreements, Statements of Work, or licensing agreements between you and The Projekt, constitutes the entire agreement between you and The Projekt regarding your use of our services. This Agreement supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter herein.

32. Assignment

You may not assign, transfer, or delegate your rights or obligations under this Agreement to any third party without The Projekt's prior written consent. The Projekt may freely assign its rights and obligations under this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
